Terms of service
Last updated: 8 October 2026
1. Agreement
These Terms of Service ("Terms") govern access to and use of Odvert, including our website, marketplace, dashboard, and related services (together, the "Service"). By creating an account, joining the waitlist, listing a website, creating a campaign, or otherwise using the Service, you agree to these Terms.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. The Service
Odvert is a marketplace that connects website owners ("Publishers") with brands and marketers ("Advertisers") for unusual advertising placements, such as favicon, developer console, highlight, copy, and other formats we may offer from time to time.
Odvert provides the platform for listing inventory, browsing sites, booking campaigns, payments, and related tooling. Unless we expressly say otherwise, we are not a party to the underlying advertising relationship between a Publisher and an Advertiser, and we do not guarantee that any listing, booking, campaign, or payout will occur.
The Service may change over time. Features may be added, modified, limited, or discontinued. Early-access or waitlist features may be incomplete or unavailable.
3. Accounts
You must provide accurate account information and keep it up to date. You are responsible for activity under your account and for keeping login credentials and magic-link emails secure. Notify us promptly if you believe your account has been compromised.
You must be at least 18 years old (or the age of majority where you live) to use the Service. We may refuse, suspend, or close accounts that violate these Terms or that we reasonably believe pose risk to Odvert, users, or third parties.
4. Publishers
If you list a website on Odvert, you agree that:
- You own the website or have clear authority to sell placements on it and to install any required script or integration.
- Information you provide (including traffic estimates, category, description, and availability) is accurate and not misleading.
- You set prices, availability, and approval preferences in good faith, and you honour approved bookings for the booked dates and products.
- You will not interfere with delivery of an approved campaign during its booked period, except where required by law or to stop clear abuse or security harm, in which case you must notify us promptly.
- You are responsible for your site's content, audience, and compliance with laws that apply to your publishing business.
Direct bookings may require your approval before they go live. Network or other opt-in distribution, where available, may fill inventory according to the rules shown in the product when you opt in.
5. Advertisers
If you create or run campaigns on Odvert, you agree that:
- Your creatives, landing pages, and claims comply with applicable advertising, consumer, and platform laws.
- You will not submit creatives that are illegal, deceptive, harmful, hateful, sexually explicit involving minors, malware-related, or otherwise inappropriate for the Publisher's audience.
- You understand that Publishers may approve or decline direct bookings, and that network distribution (where offered) follows the product rules at the time of purchase.
- You pay the amounts due for campaigns you submit, including applicable fees, taxes, and charges shown at checkout.
Odvert and Publishers may reject or remove creatives or campaigns that violate these Terms or that we reasonably judge unsuitable.
6. Payments, fees, and payouts
Payments on Odvert are processed through third-party payment providers (such as Stripe). You must provide valid payment or payout details and authorise charges and transfers as described in the product.
Unless stated otherwise in the product at the time of a transaction, Odvert charges a platform fee on marketplace bookings. The current standard platform fee is 15% of the applicable booking amount, with the remainder paid to the Publisher after the campaign runs and any applicable holds or conditions are satisfied. Fees, currency (typically GBP), and timing may be shown in the dashboard and may change with notice or for new bookings.
Refunds, cancellations, chargebacks, and disputes are handled according to the policies shown in the product and these Terms. We may withhold, reverse, or set off amounts reasonably needed to address fraud, errors, chargebacks, or breaches.
You are responsible for any taxes that apply to your use of the Service or your earnings, except taxes Odvert is required by law to collect.
7. Acceptable use
You must not:
- Use the Service for unlawful, fraudulent, or abusive purposes.
- Attempt to bypass security, scrape private data, or disrupt the Service.
- Misrepresent traffic, ownership, identity, or campaign performance.
- Upload malware, attempt unauthorised access to user systems, or use placements to exploit browsers or devices.
- Reverse engineer the Service except where applicable law allows.
- Use the Service in a way that harms Odvert's reputation, infrastructure, or other users.
8. Intellectual property
Odvert and its licensors own the Service, including software, branding, design, and documentation. You receive a limited, non-exclusive, non-transferable right to use the Service as offered under these Terms.
You retain rights in content you submit (such as website details and creatives). You grant Odvert a worldwide, non-exclusive licence to host, display, transmit, and process that content as needed to operate the marketplace and deliver campaigns. You also grant Publishers or Advertisers (as applicable) the rights needed to display or host booked creatives for the booked period.
9. Third-party services
The Service may integrate with third parties (for example payment processors, analytics, or authentication providers). Their terms and privacy practices apply to your use of those services. Odvert is not responsible for third-party services we do not control.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, specific campaign results, impression levels, or earnings.
11. Limitation of liability
To the fullest extent permitted by law, Odvert and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service or these Terms.
Our aggregate liability for claims relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to Odvert in platform fees for the three months before the claim, or (b) £100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
12. Indemnity
You will indemnify and hold harmless Odvert from claims, losses, and expenses (including reasonable legal fees) arising from your content, websites, campaigns, misuse of the Service, or breach of these Terms, except to the extent caused by Odvert's wilful misconduct.
13. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if needed to protect the Service or users. Provisions that by their nature should survive (including payment obligations, IP, disclaimers, liability limits, and indemnity) will survive termination.
14. Changes
We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.
15. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts in England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our rights.
